By accessing or using this website, including placing any order, you agree to be bound by the following Terms and Conditions ("Terms"). These Terms govern the sale and supply of goods from SAB (East Anglia) Ltd ("SAB", "we", "us", "our") and include important information regarding product specifications, payment terms, delivery, and returns. We recommend printing a copy of these Terms for future reference. Please also refer to our Privacy Policy, Cookie Policy, and Legal Notices linked within the site. If you do not agree with these Terms, please exit the site and discontinue use immediately.

1. General Use and Contract Formation

All orders placed through seatsandbeyond.co.uk are subject to acceptance under these Terms. Your order represents an offer to purchase goods from us. A legally binding contract is created when we email you a confirmation accepting your order. We reserve the right to amend these Terms at any time without notice, and they may be supplemented by additional conditions relevant to specific products or services. It is your responsibility to review these Terms prior to each order.

Our website is primarily intended for business-to-business transactions. By accepting these Terms, you confirm you have the authority to place an order on behalf of the business you represent. Any content or ideas submitted through our site become the property of SAB.

2. Product Information

"Goods" refer to the products you purchase from us via the website. While we make every effort to present product specifications accurately, minor variations may occur. SAB reserves the right to alter specifications to comply with legal or manufacturing requirements, provided these do not significantly affect the item’s quality or functionality.

3. Placing Orders

You are responsible for ensuring that the order details, including delivery instructions, are accurate and complete. Once submitted, you will receive an email acknowledging your order. We reserve the right to refuse orders at our discretion.

4. Delivery Address and Acceptance

Please double-check that your delivery address and contact details are correct during checkout. If an incorrect address leads to a failed delivery, additional charges may apply to redirect or redeliver. Deliveries are made Monday to Friday, 9:00 AM to 6:00 PM, excluding bank holidays. Upon delivery, ensure the goods are in satisfactory condition before signing the delivery note, as we cannot accept claims for damage after signing. For exports, SAB is responsible only for the value of the goods—not for shipping, duties, or related fees.

All items listed are subject to stock availability.

6. Colour and Finish Variations

We strive to ensure colour consistency, but slight differences in shade may occur due to production batches or lighting used during photography. Where possible, we will attempt to match colours upon request.

7. Measurements

Product sizes and dimensions are approximate but given as accurately as possible.

8. Pricing

Prices shown on seatsandbeyond.co.uk are displayed both inclusive and exclusive of VAT. They exclude charges for delivery, packaging, insurance, or other services unless otherwise stated. Quotes remain valid for 14 days unless otherwise noted. SAB reserves the right to adjust prices due to exchange rate fluctuations, material cost changes, or other external factors. Should such a price change occur after you have placed an order, we will notify you, and you will have five working days to confirm whether you wish to proceed.

9. Payment

Full payment is required before dispatch. Non-payment may result in cancellation or delay of your order.

10. Price Match Promise

Our Price Match Promise applies to identical products currently on the UK market. Differences in model, material, or finish may exclude eligibility.

11. Delivery Terms

Delivery is made to kerbside only unless otherwise arranged. Customers must assist with unloading. It is your responsibility to verify the number of boxes and their condition at the point of delivery. We aim to meet quoted delivery timelines, but unforeseen delays may occur. If delivery fails due to customer-related reasons, additional charges may apply for storage, return, or re-delivery.

12. Risk and Ownership

Risk transfers to the customer upon delivery. Ownership of the goods remains with SAB until full payment is received and cleared.

13. Warranty and Product Care

Goods will conform to the description at the time of delivery. Where applicable, third-party manufacturer warranties apply. Warranty claims are void if goods are misused, improperly stored, altered, or used in hire without written consent. All warranties exclude fair wear and tear, accidental damage, and misuse. Furniture used for rental is not covered by our standard warranty.

Maintenance inspections should be carried out regularly (every 3 months or monthly in high-use environments) by a competent individual. Maintenance records must be kept. Failure to maintain or document inspections invalidates all warranties.

Defects must be reported within 3 working days. Order discrepancies must be reported within 24 hours. Valid claims may be remedied through replacement or partial/full refund at our discretion.

14. Limitation of Liability

Our liability is limited to the value of the goods purchased. We are not responsible for indirect or consequential losses, including business disruption or lost profits. We are not liable for any failure to perform due to events beyond our reasonable control, including (but not limited to): natural disasters, civil unrest, labour shortages, regulatory changes, or transport disruptions.

15. Cancellations and Returns

Stock items may be cancelled if they have not yet shipped. Once dispatched, returns are accepted within 24 hours, provided the item is unused, unassembled, and in original packaging. A restocking fee of 35% applies. Return shipping costs are the customer’s responsibility.

Made-to-order or non-stocked items cannot be cancelled once an order is placed. Deposits for such items are non-refundable.

16. Insolvency

SAB reserves the right to terminate any contract if you become insolvent, cease trading, or undergo similar financial difficulties.

17. Miscellaneous

These Terms represent the complete agreement between SAB and you. They override any previous communications. No variation is valid unless confirmed in writing by an authorised SAB representative. Communications sent electronically are deemed received once they reach your information system.

You may not transfer or subcontract your rights or obligations without our written permission. We reserve the right to transfer or assign our obligations to a third party. If any provision of these Terms is found invalid, the remainder will still apply.

18. Dispute Resolution and Governing Law

In the event of a dispute, both parties agree to engage in good faith alternative dispute resolution, facilitated by CEDR. If resolution cannot be reached within 28 days, either party may proceed to litigation. These Terms and any related contract are governed by English law and fall under the non-exclusive jurisdiction of the English courts.
